1. Acceptance of Terms

By accessing the Ember Quorum website at emberquo.biz, or by entering into an engagement with Ember Quorum, you confirm that you have read and accept these terms. If you do not accept them, please do not use this website or proceed with an engagement.

These terms apply to individual visitors, representatives of organisations, and clients who have engaged our services. Where an engagement letter or statement of work has been signed, these terms apply alongside that document; in the event of conflict between the two, the engagement letter prevails.

2. Services Described

Ember Quorum offers marketing strategy consultancy services including brand positioning review, marketing approach review, and campaign thinking sessions. Descriptions on our website are provided for general information only and do not constitute an offer. The scope of any specific engagement is agreed in writing prior to commencement.

We reserve the right to decline any enquiry or engagement at our reasonable discretion, including where we judge that a conflict of interest exists or that the engagement would not be well-suited to our capabilities.

3. Client Engagements

Each client engagement is established through a written engagement letter that sets out the scope, deliverables, timeline, and fees. An engagement begins only once the engagement letter has been signed by both parties.

You agree to:

• Provide accurate and complete information necessary for the conduct of the engagement
• Make relevant personnel available for agreed workshops and sessions
• Review and respond to draft materials within timeframes noted in the engagement letter
• Inform us promptly of material changes in your circumstances that may affect the engagement

Where the scope of an engagement needs to be extended or amended, this will be agreed in writing by both parties before additional work proceeds.

4. Fees and Payment

Fees for each engagement are stated in the engagement letter in Malaysian Ringgit (MYR). Indicative prices listed on our website are provided for reference and may not reflect the fee for your specific engagement.

Unless otherwise agreed in the engagement letter, a deposit of fifty percent of the engagement fee is payable upon signing, with the balance due on delivery of the final written output. Payment is due within fourteen days of invoice.

Where payment is not received within the agreed period, we reserve the right to pause work until the outstanding amount is settled. We do not charge interest on overdue amounts as a first measure, preferring to resolve payment matters through direct conversation.

5. Intellectual Property

Upon receipt of full payment for an engagement, Ember Quorum assigns to the client the rights to use the written deliverables produced for that engagement for their own internal business purposes.

Ember Quorum retains the right to use anonymised learnings, frameworks, and general approaches that emerge from engagements in its broader practice. We do not publish client-specific information without explicit written agreement.

All content on this website — including text, design, and structural arrangement — remains the property of Ember Quorum and may not be reproduced without our written permission.

6. Confidentiality

We treat all client information with professional discretion. Materials shared with us during an engagement are used only for the purposes of that engagement and are not disclosed to third parties without your agreement, except as required by law.

We may ask you to sign a mutual non-disclosure agreement in advance of discussions involving particularly sensitive commercial information. We are happy to work within the terms of a client's own NDA where appropriate.

7. Website Use

You may use this website for lawful purposes only. You agree not to:

• Attempt to gain unauthorised access to any part of this website or its underlying systems
• Use automated tools to scrape or collect content from this website
• Submit false or misleading information through any form on this website
• Conduct any activity through this website that is unlawful or would harm others

We reserve the right to restrict access to this website at any time without notice.

We are not liable for indirect or consequential loss, including loss of profit, arising from our services or from use of this website, except where such liability cannot be excluded by law. This limitation does not apply in cases of fraud or wilful misconduct.

10. Termination of Engagements

Either party may terminate an engagement by giving written notice. The notice period and any financial implications of early termination are stated in the engagement letter. Where no notice period is specified, fourteen days' written notice is required.

Where an engagement is terminated by the client before completion, fees are due for work completed to the date of termination. We will provide a written account of work completed and any amounts outstanding.

11. Governing Law

These terms are governed by the laws of Malaysia. Any dispute arising from or connected to these terms or to an engagement with Ember Quorum shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Where a dispute arises, we will always seek to resolve it through direct and respectful conversation before pursuing formal proceedings. We believe most matters can be addressed in that way.

12. Amendments

We may update these terms from time to time. Updated terms will be published on this page with a revised date. Your continued use of this website after an update constitutes acceptance of the revised terms. Amendments to the terms of an active client engagement require written agreement from both parties.
